Crew Agreement

Independent contractor agreement between Ground Crew and a local expert (crew member).

This Crew Agreement ("Agreement") is made between Ground Crew Travel Pty Ltd (ABN 99 348 440 286) of Brisbane QLD, Australia ("Ground Crew", "we", "us", "our"), and the individual or entity named in the Schedule ("you", "the crew member"). It starts on the date the last party signs (the "Commencement Date") and sets out the terms on which you provide services to Ground Crew as an independent contractor.

1. Nature of the relationship

You are engaged as an independent contractor, not an employee, partner or agent of Ground Crew. Nothing in this Agreement creates an employment, partnership, joint venture or agency relationship. You are responsible for your own income tax, and for any superannuation, social security, insurance, licences, registrations and other obligations that apply to you in your location. You are not entitled to employee benefits such as paid leave. You control how and when you perform the services, subject to the standards, timeframes and briefs we agree.

2. The services

You may be asked to provide services such as reviewing traveller itineraries (SenseCheck), building itineraries and guides, verifying AI-drafted plans, and contributing local knowledge and recommendations for the destinations in the Schedule (the "Services"). We offer work to you on a task-by-task, non-exclusive basis. We do not guarantee any minimum volume of work, and you are free to accept or decline any task and to work for others, provided you comply with your obligations under this Agreement.

3. How work is offered and delivered

We will describe each task, its brief, its fee and its due date when we offer it to you. If you accept a task, you agree to deliver it by the agreed time and to our quality standards. If you cannot meet a deadline, tell us as soon as possible. Turnaround targets we publish to travellers (in our Service Commitments) depend on you meeting the deadlines we agree with you.

4. Your standards and warranties

For each task, you warrant that:

  • your work is your own original work, based on your genuine first-hand knowledge and honest opinion, and is not copied, scraped or plagiarised from any other source;
  • your recommendations are current to the best of your knowledge, and you have taken reasonable care to check time-sensitive details such as prices, opening times and access;
  • your work does not infringe any third party's intellectual property, privacy or other rights, and contains nothing unlawful, misleading, defamatory or offensive;
  • you follow any brand, voice and style guidelines we give you; and
  • you hold all rights necessary to assign the intellectual property in your work to us under clause 6.

5. Conflicts of interest and no secret commissions

You must recommend places and providers on their merits. You must disclose to us, in advance, any commercial or personal interest you have in a provider, venue or product you recommend — for example, ownership, employment, sponsorship, commission, free goods or a family connection. You must not accept undisclosed payments, commissions or benefits in exchange for recommendations. We may decline to publish, or may remove, any recommendation affected by an undisclosed conflict.

6. Intellectual property

You keep ownership of the work, deliverables and content you create under this Agreement (the "Deliverables"), including itineraries, markups, guides, text and images. We encourage you to reuse and sell your own creations, subject to your confidentiality obligations in clause 7 and any exclusivity we agree in writing for a particular task.

You grant Ground Crew a worldwide, perpetual, irrevocable, royalty-free, non-exclusive licence, including the right to sub-licence, to host, use, reproduce, adapt, publish, distribute, sell and otherwise commercialise the Deliverables as reasonably needed to operate and promote our services — including delivering a Deliverable to the traveller who ordered it and granting that traveller a licence to use it.

You also grant us the right to use the Deliverables, and information about how travellers interact with them, to develop, train, test and improve our artificial intelligence models, tools and datasets, provided we do not publicly disclose your personal information or a traveller's private trip details. Any models, tools and improvements we create remain our property.

You consent to our use of the Deliverables even where this would otherwise infringe your moral rights, and you agree not to assert your moral rights against us or anyone we authorise. You keep your general skill, knowledge and know-how and may continue to use it.

7. Confidentiality

You will keep confidential all non-public information you receive through Ground Crew, including traveller details, business plans, pricing, processes, briefs and this Agreement. You may use confidential information only to perform the Services, and you must not disclose it to anyone else or use it for your own benefit. This obligation continues after this Agreement ends.

8. Traveller personal information and privacy

When you handle a traveller's personal information to perform a task, you do so on our behalf and on our instructions, and you must comply with our Privacy Policy and applicable privacy laws, including the Australian Privacy Act 1988 (Cth) and, where relevant, the GDPR. In particular, you must:

  • use traveller personal information only to deliver the specific task, and not for any other purpose;
  • keep it secure and not share it with anyone else without our written approval;
  • not retain it any longer than needed for the task, and delete or return it when the task is complete or when we ask; and
  • tell us immediately if you become aware of any actual or suspected data breach or misuse.

9. Fees and payment

We will pay you the fees set out in the Schedule for tasks you complete to our standards. We pay monthly: after the end of each month, we will calculate the fees for the tasks you completed that month and pay them to you, usually within 10 business days.

We pay by international transfer through Wise (or a similar service we nominate). You are responsible for setting up and maintaining your own Wise or nominated account, and for giving us accurate, up-to-date payment details so we can pay you. We will provide a monthly statement of the tasks and fees included in each payment. If you are required by law to issue a tax invoice, or you are registered for GST or an equivalent tax, you must give us a valid invoice showing any tax correctly.

Payments are made in AUD unless we agree otherwise, and you are responsible for any currency conversion and for any fees charged by your own bank or payment provider on the receiving end. Fees are inclusive of all taxes unless stated otherwise, and you are responsible for your own income tax, GST or equivalent, and other tax and statutory obligations in your location. We may set off against amounts owing to you any amount you owe us, or any refund or re-work cost arising from your work.

10. Non-solicitation and non-circumvention

During this Agreement and for 12 months after it ends, you must not, in connection with services like ours, directly or indirectly solicit, divert or take off-platform any traveller or customer you became aware of through Ground Crew, and you must not solicit our staff or other crew to leave us. If a traveller approaches you directly as a result of work you did for us, you will refer them back to Ground Crew. This clause is intended to protect our legitimate business interests and applies only so far as it is reasonable and enforceable.

11. Re-work and quality remedies

If a Deliverable does not meet the agreed brief or standard, we may ask you to re-work it at no additional charge within a reasonable time. If you cannot or do not correct it, we may correct it ourselves or engage someone else, and we may withhold or reduce the fee for that task to a fair amount reflecting the shortfall.

12. Liability and indemnity

Each party is responsible for its own acts and omissions. To the extent permitted by law, you indemnify Ground Crew against loss, damage, cost or claim we suffer arising from your breach of this Agreement, your negligence or unlawful conduct, or any claim that your Deliverables infringe a third party's rights. Neither party is liable to the other for indirect or consequential loss. Nothing in this Agreement limits any right or liability that cannot be excluded by law.

13. Term and termination

This Agreement continues until ended. Either party may end it for convenience by giving 14 days' written notice. We may end it immediately if you breach a material term (including clauses 5, 6, 7, 8 or 10), if your conduct risks harm to travellers or to our reputation, or if required by law. Ending this Agreement does not affect tasks already completed or fees already earned. On termination you must return or delete our confidential information and any traveller data you hold. Clauses that by their nature should survive (including 6, 7, 8, 10 and 12) continue to apply.

14. General

This Agreement, with its Schedule, is the entire agreement between us about the Services and replaces any earlier understanding. We may update it by giving you reasonable notice; if you accept a task after an update, you accept the updated terms. You may not assign this Agreement without our consent; we may assign ours in connection with a sale or restructure of our business. If any provision is invalid or unenforceable, the rest continues in force. A failure to enforce a right is not a waiver of it. This Agreement is governed by the laws of Queensland, Australia, and both parties submit to the exclusive jurisdiction of the courts of Queensland. The parties may sign electronically and in counterparts.
